1. Introduction and Acceptance

These Terms and Conditions (“Terms”) govern your access to and use of helixbiosolutions.com (the “Site”) and any purchase of products from Helix BioSolutions, operated by Helix Biosciences Solutions Inc. (“Helix BioSolutions”, “we”, “us”, or “our”).

By accessing the Site or placing an order, you agree to these Terms. If you do not agree, do not use the Site or place an order.

2. Research-Use Restriction (Important)

All products sold by Helix BioSolutions are supplied strictly for laboratory and scientific research use only. They are NOT intended for, and must not be used for:

• human consumption or human use of any kind;
• veterinary or animal use;
• diagnostic, therapeutic, or clinical use; or
• use in any food, drug, cosmetic, or household product.

By purchasing, you represent and warrant that you are acquiring the products solely for lawful laboratory research, that you are qualified to handle them, and that you will comply with all applicable laws and regulations governing their purchase, handling, storage, use, and disposal. You assume full responsibility for the safe and lawful use of any product purchased.

3. Eligibility and Account Registration

By using the Site, you confirm that you are at least 21 years of age and legally able to enter into these Terms. You may need to create an account to place an order. You are responsible for the accuracy of your account information and for maintaining the confidentiality of your login credentials and all activity under your account.

4. Use of the Website

You agree to use the Site only for lawful purposes. You may not interfere with the Site’s operation, attempt unauthorized access, introduce malicious code, scrape content without permission, or use the Site in any way that violates applicable law or these Terms.

5. Product Information

We work to describe products, purity, and specifications accurately, with supporting Certificates of Analysis (COAs) available on product pages and our dedicated Testing/COA page. Product images may be illustrative. While we take care to keep information current, we do not guarantee that all content is error-free, and we may correct errors and update information at any time.

6. Orders and Purchasing

All orders are offered to purchase and are subject to acceptance by us. We may refuse, cancel, or limit any order — including where a product is unavailable, where there is a pricing or description error, or where we suspect the order violates these Terms (including the research-use restriction). If we cancel an order after payment, we will issue a refund.

7. Pricing and Payment

Prices are listed on the Site in U.S. dollars and may change without notice. We currently accept PayPal and Zelle. Payment is processed by the applicable payment provider under its own terms; you agree to those terms when you pay. Your order is confirmed once payment is received.

8. Shipping and Delivery

• Shipping area: We ship within the United States only.
• Carriers: USPS Priority Mail and FedEx.
• Shipping rate: Flat rate of $15 for standard shipping. Free shipping on orders over $200.
• Dispatch cut-off: Orders placed before 2:00 PM EST ship the same day, Monday through Friday. Orders placed after cut-off ship the next business day.
• Non-shipping days: Saturdays, Sundays, and official U.S. federal holidays.
• Tracking: Tracking is emailed automatically once your order ships.
• Packaging: Orders ship in discreet, plain, durable mailers or boxes with protective internal padding for fragile glass vials.

Delivery timeframes provided by carriers are estimates and are not guaranteed. Risk of loss passes to you upon delivery to the carrier, except where prohibited by law.

9. Returns, Refunds, and Cancellations

To start a return, first contact support@helixbiosolutions.com with your order number and the reason for the return. Once the returned item is received and inspected, refunds are issued to the original payment method within 5–10 business days.

10. Product Handling and Storage Responsibility

You are solely responsible for the correct handling, storage, and disposal of products after delivery, in accordance with the product’s Certificate of Analysis, product-page guidance, and all applicable laws and safety standards. Improper storage or handling may affect a product’s stability, and Helix BioSolutions is not responsible for issues arising from handling after delivery.

11. Intellectual Property

All content on the Site — including text, logos, graphics, product descriptions, and page design — is owned by or licensed to Helix BioSolutions and is protected by applicable intellectual property laws. You may not copy, reproduce, distribute, or create derivative works from Site content without our prior written permission.

12. Prohibited Uses

You may not: use any product for human, veterinary, diagnostic, or therapeutic purposes; resell or redistribute products in violation of applicable law; misrepresent your identity or intended use; or use the Site or products in any unlawful manner.

13. Disclaimer of Warranties

Except for the specific purity and identity data provided in each batch’s Certificate of Analysis, products and the Site are provided “as is” and “as available,” without warranties of any kind, whether express or implied, including implied warranties of merchantability or fitness for a particular purpose, to the fullest extent permitted by law. We do not warrant that the Site will be uninterrupted or error-free.

14. Limitation of Liability

To the fullest extent permitted by law, Helix BioSolutions and Helix Biosciences Solutions Inc. shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or for loss of profits or data, arising from your use of the Site or products.

15. Indemnification

You agree to indemnify and hold harmless Helix BioSolutions, Helix Biosciences Solutions Inc., and its officers, employees, and agents from any claims, damages, losses, or expenses (including reasonable legal fees) arising from your use of the Site or products, your violation of these Terms, or your violation of any law or the rights of any third party — including any use of a product in violation of the research-use restriction.

16. Third-Party Links and Services

The Site may reference or link to third-party services (such as payment providers and shipping carriers). We are not responsible for the content, policies, or practices of third parties, and your use of those services is governed by their own terms.

17. Changes to These Terms

We may update these Terms at any time. The “Last updated” date reflects the current version, and changes take effect when posted. Your continued use of the Site or placing of orders after changes constitutes acceptance.
